By engaging RMDS™ for marketing, sales, or distribution services, you agree to the following terms and conditions. These are designed to protect both parties and clarify responsibilities.
1. Services and Scope
RMDS™ provides tailored sales, marketing, and distribution services. Service details will be outlined in each project brief or agreement.
2. Content Submission and Intellectual Property Responsibility
You, the client, are fully responsible for ensuring that any content, visuals, branding elements, or materials submitted to RMDS™ do not infringe upon the copyright, trademark, or intellectual property rights of any third party.
By submitting materials to RMDS™, you confirm that:

You have the legal right to use all submitted content;

You have secured any necessary licenses or permissions;

You indemnify RMDS™ against any claims, damages, or legal fees resulting from the use of unlicensed or infringing material.
RMDS™ will not be held liable for unauthorized or trademarked content submitted by the client without proper rights clearance.
3. Right to Refuse or Suspend Work
RMDS™ reserves the right to:

Refuse content that appears illegal, offensive, or unethical;

Pause or terminate services if a project is found to involve rights infringement or reputational risk.
4. Ownership of Work
Clients retain ownership of their original content. RMDS™ retains the right to use non-confidential work samples in its portfolio unless explicitly restricted in writing.
5. Payments and Invoicing
All fees and payment terms will be agreed upon in writing before the start of a project. Late payments may result in service suspension and additional charges.
6. Confidentiality
RMDS™ commits to keeping client data, materials, and strategy confidential unless disclosure is required by law or agreed in writing.
7. Results Disclaimer
RMDS™ will execute agreed strategies with professionalism and care, but we cannot guarantee specific sales results, engagement numbers, or consumer actions.
8. Limitation of Liability
RMDS™ will not be liable for indirect, incidental, or consequential damages arising from service use. Total liability is limited to the amount paid by the client for services rendered.
9. Jurisdiction
These terms are governed by the laws of the Republic of South Africa. Any disputes will be handled under South African legal jurisdiction.
10. Changes to Terms
These terms may be updated periodically. Continued use of RMDS™ services after changes implies acceptance of the revised terms.
